Important Notices — Please Read Before Signing

Trading in financial instruments involves significant risk and is not suitable for everyone. You may lose some or all the money you invest. Please read this Agreement and all documents referred to in it carefully before signing. If you are unsure about anything, seek independent advice before proceeding.

This Client Agreement (the “Agreement”) is a legally binding contract between the Client identified in the Signature Block (“you”, “your”) and Monolith Private Wealth Limited (“MPW”, “we”, “us”, “our”). Where the Client is a legal entity, references to “you” and “your” are to that entity, and the obligations and confirmations in this Agreement apply to the entity and, where the context requires, to the individual signing on its behalf.

This Agreement sets out the terms on which MPW will open and maintain your Account, hold your money, receive and execute your orders, and provide any advisory services you choose to use through the Monolith Market platform (the “Platform”). By signing this Agreement, you confirm that you have read, understood, and agreed to be bound by it and by each of the Incorporated Documents listed in Section 3.

Mauritius law applies. MPW is licensed and regulated by the Financial Services Commission of Mauritius (FSC). Your relationship with MPW is governed exclusively by Mauritian law. Protections that may exist in other jurisdictions — such as the EU, UK, US, or UAE — do not apply unless this Agreement expressly says so.

1. The Parties

Monolith Private Wealth Limited (“MPW”) a company incorporated in the Republic of Mauritius, licensed by the FSC as an Investment Dealer (Full-Service Dealer, excluding Underwriting) under section 29 of the Securities Act 2005 and as an Investment Adviser (Unrestricted) under section 30 of the Securities Act 2005. Registered office: Ground Floor, The Gardens, Bagatelle Office Park Bagatelle, Moka 80832, Mauritius. FSC Licence No: GB22201014. Website: www.monolithmarket.com.

The Client (“you” / “your”) the individual or legal entity whose details appear in the Signature Block, as verified by MPW during the account opening process. Where the Client is a legal entity, the individual signing this Agreement confirms they are duly authorised to bind that entity.

2. Your Account and Eligibility

2.1 Opening Your Account

By signing this Agreement, you apply to open a Monolith Market account (your “Account”). MPW will open your Account once all required know-your-customer (KYC) and anti-money laundering checks have been completed to MPW's satisfaction and MPW has confirmed by written or electronic notice that your Account is active.

You confirm that all information you provide to MPW — at account opening or at any time during your relationship with us — is true, accurate, complete, and not misleading. You must notify us promptly of any material change, including changes to address, tax residence, ownership or control structure, source of funds, or political exposure status. Providing false or incomplete information is a serious breach of this Agreement and of Applicable Law.

2.2 Individual Clients

If you are an individual, you must be at least 18 years old and have the full legal capacity to enter this Agreement and receive the Services. You are personally responsible for all activity on your Account.

2.3 Entity Clients

If you are a legal entity — such as a company, partnership, trust, or fund — the following additional conditions apply.

Matter Position
Authority The individual signing this Agreement confirms that they are duly authorised by the entity to bind it to this Agreement and to all Incorporated Documents. MPW may request a board resolution, power of attorney, or other evidence of authority before opening the Account.
Liability The entity is the contracting party and is solely liable for all obligations under this Agreement. Where MPW expressly opens a joint account, all account holders are jointly and severally liable for all obligations.
KYC requirements Entity Clients must provide corporate documentation, details of directors, shareholders, and ultimate beneficial owners, and any other information required under the KYC Onboarding Requirements Notice and MPW's AML/CFT framework. Enhanced due diligence may apply depending on the entity's structure, jurisdiction, or risk profile.
Ongoing updates The entity must notify MPW promptly of any material change to its structure, ownership, control, directors, authorised signatories, or regulatory status. This includes changes to ultimate beneficial ownership, the addition or removal of authorised signatories, and any corporate restructuring.
Authorised users Only individuals expressly authorised by the entity and approved by MPW may operate the Account. The entity is responsible for managing and revoking authorisations and for all activity carried out through the Account by any authorised user.

2.4 Client Categorisation

MPW categorises every client as a Retail Investor or a Sophisticated Investor under the Securities Act 2005. The default categorisation is Retail Investor. This affects the protections, disclosures, leverage limits, and suitability requirements that apply to your Account. Full details are in the Client Categorisation Policy.

3. Documents That Form Part of This Agreement

The following documents are incorporated into this Agreement by reference. Each is available on the Platform. By signing this Agreement, you confirm that you have been given access to all of them and that you accept their terms.

Leverage, Margin and Negative Balance Protection Policy The contractual basis governing all leveraged and margined activity on your Account, including leverage limits by product category, margin requirements, margin call and stop-out procedures, overnight financing, and Negative Balance Protection. This Policy is incorporated into the Brokerage Terms and Conditions (Clause 14) and no separate margin agreement is required
Risk Disclosure Statement The general and product-specific risks of the financial instruments available through the Platform.
Costs and Charges Schedule All fees, commissions, spreads, and other charges that may apply to your Account.
Conflicts of Interest Notice How MPW identifies, manages, and discloses conflicts of interest.
Data Protection Notice How MPW collects, uses, stores, and protects personal data under the Data Protection Act 2017 of Mauritius.
Complaints Handling Procedure How to make a complaint and how MPW will handle it.
Dormant Account Policy How MPW handles accounts that have been inactive for an extended period.
AML/CFT/CPF Policy Statement MPW's framework for anti-money laundering, counter-terrorism financing, and counter-proliferation financing.
FATCA and CRS Notice Tax-information reporting obligations relevant to certain clients.

If there is any conflict between this Agreement and an Incorporated Document, this Agreement prevails unless the Incorporated Document expressly states otherwise or the conflict concerns a regulatory disclosure obligation, in which case the Incorporated Document prevails to the extent necessary for compliance.

4. Services

4.1 Brokerage (Investment Dealer)

Through its Investment Dealer licence, MPW will receive and transmit your orders in financial instruments available on the Platform, execute those orders on your behalf, hold your money in segregated client accounts, arrange custody of financial instruments you acquire, and provide related settlement, clearing, and margin services.

4.2 Investment Advice (Investment Adviser)

Through its Investment Adviser licence, MPW may provide personalised investment recommendations based on your Client Investment Profile, as well as general market commentary and educational content. MPW also makes available two optional advisory services — Copy Trading and PAMM — each of which you may choose to activate independently at any time, as described in Sections 5 and 6.

4.3 What MPW Does Not Do

MPW does not provide tax advice, legal advice, or accounting advice. It does not guarantee any investment return or the performance of any financial instrument, Lead Trader, or PAMM Manager. If you are unsure whether a service or product is right for you, you should seek independent professional advice.

Execution-only default. Unless and until you opt into Copy Trading (Section 5) or PAMM (Section 6), the Platform operates on an execution-only basis. MPW will execute your orders without advising you on whether they are appropriate for you, subject to any appropriateness check required for complex products under the Suitability and Appropriateness Policy.

5. Copy Trading — How to Start and What It Means

Copy Trading is an optional service that lets you automatically replicate, in proportion to the amount you allocate, the trades of a selected Lead Trader. By signing this Agreement, you confirm that you understand Copy Trading may be available to you on the Platform and that, if you choose to use it, the terms set out in the Brokerage Terms and Conditions (Clause 12) will apply in full.

Copy Trading is provided under MPW's Investment Adviser (Unrestricted) licence. When you choose to copy a Lead Trader, that choice is treated as a continuing personalised investment recommendation — with the Lead Trader's activity as the input — while you retain full control to start, change, or stop copying at any time.

How you activate Copy Trading. Signing this Agreement does not start any copying relationship. Each time you choose to copy a specific Lead Trader or strategy through the Platform, you will be shown key information about that Lead Trader, their strategy, the risks, the fees, and the parameters. By confirming your choice on the Platform, you accept those terms and activate that specific copying relationship. The same applies to any changes you make.

Copy Trading carries real risks. Past performance is not a reliable indicator of future results. Your results may differ from the Lead Trader's due to timing, order size, liquidity, and other factors. You could lose all the money you allocate. Please read the Risk Disclosure Statement before using this service.

6. PAMM — Percentage Allocation Management Module

PAMM is an optional discretionary management service under which a designated PAMM Manager makes all trading decisions for a pooled account on your behalf, in proportion to your share of the total capital in that account. By signing this Agreement, you confirm that you understand PAMM may be available to you on the Platform and that, if you choose to use it, the terms in the Brokerage Terms and Conditions (Clause 13) will apply in full.

PAMM is provided under MPW's Investment Adviser (Unrestricted) licence as a discretionary portfolio management service. Unlike Copy Trading, where you always retain discretion, once you subscribe to a PAMM and accept the applicable Mandate, the PAMM Manager makes all day-to-day trading decisions for your allocated capital without needing your approval for each trade.

How you activate PAMM. Signing this Agreement does not subscribe you to any PAMM. Each time you choose to subscribe to a specific PAMM through the Platform, you will be shown full details including the manager, the strategy, the risks, the fees, and the Mandate. By confirming your subscription on the Platform, you accept the Mandate for that specific PAMM and authorise the PAMM Manager to manage your allocated capital on a discretionary basis.

PAMM carries real risks. You are handing day-to-day trading discretion to the PAMM Manager. You cannot intervene in individual trades. The PAMM Manager may make poor decisions, deviate from the stated strategy, or underperform. You could lose all the capital you allocate. Redemptions may in exceptional circumstances be delayed. Please read the Risk Disclosure Statement and the PAMM disclosures carefully before subscribing.

7. Your Money

All money you deposit with MPW is held as Client Money in segregated bank accounts that are separate from MPW's own funds and are not available to MPW's creditors if MPW were to become insolvent. MPW carries out daily reconciliations to ensure the segregated balance always matches what MPW owes clients.

You may only deposit from, and withdraw to, an account verified by MPW. For individual clients, that account must be in your own name. For entity clients, it must be an account in the name of the entity. MPW does not accept cash deposits, anonymous transfers, or deposits from third parties. Withdrawals are processed once all required compliance checks have been completed, in accordance with the timelines set out in the Brokerage Terms and Conditions.

Interest on client money. You are not entitled to interest on money held in your Account unless this is expressly stated in the Costs and Charges Schedule.

8. Fees and Charges

All fees, commissions, spreads, and other charges that may apply to your Account are set out in the Costs and Charges Schedule, which is an Incorporated Document available on the Platform. By signing this Agreement, you agree to pay those charges as and when they fall due. MPW may update the Costs and Charges Schedule from time to time and will give you reasonable advance notice of any material changes.

9. Risk Acknowledgement

Trading in financial instruments involves the risk of losing money, sometimes more than you invest. By signing this Agreement, you confirm that you have read the Risk Disclosure Statement and that you understand and accept the risks involved in the services and products you have chosen to access. MPW does not guarantee any particular outcome, return, or level of performance.

You are responsible for your own investment decisions. MPW's execution of your orders, and any advice it provides, does not relieve you of that responsibility. You should only trade with money you can afford to lose.

Where you trade leveraged or margined products, you acknowledge that: (a) leverage magnifies both gains and losses and you may lose your entire deposited capital rapidly; (b) your positions may be closed automatically by MPW's stop-out mechanism without prior notice to you; (c) in fast-moving or gapping markets, positions may close at prices materially worse than the stop-out level; (d) overnight financing charges apply to positions held beyond the end of the trading day; and (e) for Retail Investor accounts, Negative Balance Protection limits your losses to the funds in your Account, but does not protect against the loss of those funds. The terms governing leveraged trading are set out in full in Clause 14 of the Brokerage Terms and Conditions and in the Leverage, Margin, and Negative Balance Protection Policy.

10. Personal Data

MPW collects and processes personal data to open and manage your Account, comply with its legal obligations (including AML/CFT, tax reporting, and FSC requirements), and provide the services described in this Agreement. All personal data is processed in accordance with the Data Protection Notice, which is available on the Platform and is an Incorporated Document.

Where the Client is an individual, by signing this Agreement you acknowledge that you have read the Data Protection Notice and consent to the processing of your personal data for the purposes and on the lawful bases described in it. You also acknowledge that any biometric data captured during identity verification is processed based on your explicit consent, which you may withdraw at any time — though doing so may affect MPW's ability to maintain your Account.

Where the Client is a legal entity, the entity acknowledges that personal data relating to its directors, authorised signatories, beneficial owners, and other associated individuals will be collected and processed by MPW in connection with the account opening and ongoing due diligence process. The authorised signatory confirms that all such individuals have been informed of, and where required have consented to, MPW's processing of their personal data as described in the Data Protection Notice.

If MPW confirms that a personal data breach has occurred, it will notify the Office of the Data Protection Commissioner as quickly as possible. The notification will explain what happened, who to contact at MPW, what the likely impact is, and what steps MPW is taking to fix the problem and limit any harm. Where a breach is likely to pose a high risk to affected individuals, MPW will also contact them directly.

11. How We Will Communicate with You

MPW will communicate with you through the Platform, by email to the address you provide, and through any in-app messaging functionality. Notices sent to your registered email address or through the Platform are treated as received. It is your responsibility to keep your contact details up to date and to check the Platform and your email regularly.

For entity clients, communications will be addressed to the primary contact registered with MPW. It is the entity's responsibility to ensure that the registered contact details are current and that any changes to authorised contacts are notified to MPW promptly.

You may contact MPW through the support channel on the Platform or by email at the address published on the Platform. If you have a complaint, please use the process described in the Complaints Handling Procedure.

12. Changes to This Agreement

MPW may update this Agreement, the Brokerage Terms and Conditions, or any Incorporated Document from time to time. Where a change is material, MPW will give you at least 30 (thirty) days' advance notice through the Platform or by email. If you do not accept the change, you may close your Account before it takes effect. Continuing to use your Account after the effective date of a change means you accept it.

13. Suspension and Closure of Your Account

You may close your Account at any time by giving notice through the Platform. MPW will complete an orderly wind-down, which includes closing open positions, settling outstanding obligations, and returning any available funds to your verified bank account in accordance with the Brokerage Terms and Conditions.

MPW may suspend or close your Account, or restrict access to particular services, where required by law, regulation, or court order, or where there is a reasonable concern about fraud, money laundering, sanctions, breach of this Agreement, or any other matter that requires protective or remedial action. Where possible, MPW will give you advance notice, but this may not always be possible.

14. MPW's Liability

MPW is liable to you for losses caused by its own fraud, wilful misconduct, or gross negligence. Nothing in this Agreement limits MPW's liability for death or personal injury caused by its negligence, or for any other liability that cannot be excluded under Mauritian law.

Subject to the above, MPW is not liable for market losses, losses arising from your own decisions, losses resulting from events outside MPW's reasonable control, or indirect or consequential losses. The Brokerage Terms and Conditions (Clause 22) contain the full liability framework.

15. Governing Law and Disputes

This Agreement is governed by the laws of the Republic of Mauritius. Any dispute that cannot be resolved by agreement will be referred to the courts of Mauritius, which have non-exclusive jurisdiction.

Before taking legal action, you are encouraged to raise the matter using the Complaints Handling Procedure. If you remain dissatisfied after MPW's final response, you may refer your complaint to the Ombudsperson for Financial Services under the Ombudsperson for Financial Services Act 2018.

16. General

If any part of this Agreement is found to be invalid or unenforceable, the rest of the Agreement continues in full force. A failure by either party to exercise a right under this Agreement does not mean that right is waived. This Agreement, together with the Incorporated Documents, is the entire agreement between you and MPW and replaces any prior agreement or understanding on the same subject matter.

Leveraged products Where I/we intend to trade leveraged or margined products, I/we have read Clause 14 of the Brokerage Terms and Conditions and the Leverage, Margin, and Negative Balance Protection Policy, and I/we understand that: positions may be closed automatically without notice; overnight financing charges may apply; and Negative Balance Protection limits but does not eliminate the risk of loss.
Personal data I/we have read the Data Protection Notice. Where the Client is an individual, I consent to the processing of my personal data as described in it, including biometric data on the basis of explicit consent. Where the Client is a legal entity, I confirm that all relevant individuals have been informed of MPW's data processing as described in the Data Protection Notice.
Authority (entity clients) Where the Client is a legal entity, I confirm that I am duly authorised to sign this Agreement on behalf of the entity and to bind it to all obligations set out in this Agreement and the Incorporated Documents.
Copy Trading I/we understand that signing this Agreement does not activate Copy Trading. Each copying relationship must be separately selected and accepted on the Platform at the time of use.
PAMM I/we understand that signing this Agreement does not subscribe me/us to any PAMM. Each PAMM subscription and Mandate must be separately selected and accepted on the Platform at the time of use.
Eligibility I/we confirm that the information provided to MPW is true, accurate, and complete; that the Client is not a Sanctioned Person; and that the individual signing has the legal capacity and authority to enter this Agreement.

Draft notice. This Client Agreement is a draft prepared for review by Mauritian regulatory counsel and approval by the Board of Directors before implementation. It does not constitute legal advice. Where any provision conflicts with Applicable Law, including the Securities Act 2005, the Data Protection Act 2017, FIAMLA, or any FSC rule, the law prevails.
